Terms of Service

These Terms of Service ("Terms") govern your access to and use of Planium ("the Services"), provided by Avidnote AB, a Swedish limited company ("Planium", "we", "us"). By creating an account or using the Services, you accept these Terms. If you do not agree to them, do not use the Services.

1. The Services and your license

Planium is an AI workspace for the construction industry: a library for project material, AI chat, a document editor, meeting transcription, and analysis tools. The Services are offered as a free plan and paid plans (Team, Organization, Enterprise) as described on the pricing page. We grant you a non-exclusive, non-transferable, revocable, time-limited license to use the Services in accordance with your plan. We may update these Terms with notice as described in section 15.

2. Your account and your commitments

• You must be at least 16 years old to use the Services (or have a guardian's consent).
• An account may only be used by one person; keep your login credentials confidential and notify us immediately of any unauthorized access.
• You are responsible for your internet connection and the technical environment required to use the Services.
• You must ensure that content you upload is free from viruses, trojans, worms, or other malicious software, and that you have the right to upload it.
• You may not copy, decompile, decrypt, or reverse-engineer the Services, nor use them in an improper or unlawful manner (including breaching confidentiality toward project parties or infringing third-party intellectual property rights).
• We may suspend or terminate accounts immediately for material breaches of these Terms, without refund.

3. Prices, payment, and refunds

• Prices are listed on the pricing page, excluding VAT and other applicable taxes.
• Paid plans are billed in advance for each subscription period through our payment provider, Stripe. Plan changes take effect as stated at checkout — upgrades immediately, downgrades and cancellations at the end of the current period.
• You can cancel at any time; access continues until the end of the paid period.
• New purchases qualify for a full refund within fourteen (14) days of purchase. Email team@planium.se to request one; we process refunds within 14 days of the request being registered.

4. Your data and intellectual property

You own your data. Uploading content to Planium does not change its ownership. We acquire no rights to your documents, drawings, files, specifications, tenders, or meeting transcripts beyond what is necessary to operate the Services for you. We do not sell your content to any third party, we show no ads, and we do not use your content to train AI models. Planium and its licensors retain all rights to the Services themselves; you receive no rights beyond the license in section 1. We may remove content that infringes third-party rights upon notice.

5. AI output

The Services generate text and analyses using artificial intelligence. AI output may contain errors and does not constitute professional, legal, or technical advice. You are responsible for verifying AI output before relying on it or publishing it, including checking references, figures, and factual claims against, for example, applicable building regulations (BBR, EKS, PBL) and your client's requirements.

6. Teams and shared projects

When you create a team or share projects, you choose members and administrators and are responsible for content created within your team, including compliance with applicable data protection law for the personal data your team uploads. Team owners can suspend or remove members' access; removed members revert to standalone accounts.

7. Organizational email addresses

If you sign up with an organizational email address (e.g. a company address), we may inform that organization that an account exists for licensing purposes. Sign up with a personal email address if you prefer this not to happen.

8. Service availability and defects

The Services are provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation, and we may take the Services offline for maintenance and upgrades, with advance notice for major maintenance where reasonably possible. Report defects within a reasonable time and we will work to fix them as quickly as circumstances allow. We are not responsible for defects in third-party applications you connect (e.g. integrations with other systems).

9. Confidentiality

Both parties undertake to keep the other party's non-public information confidential during your use of the Services and for two years thereafter, except where disclosure is required by law.

10. Liability

To the extent permitted by law, our total liability is limited to the amount you paid for the Services in the twelve months preceding the event, and we are not liable for indirect, consequential, or incidental damages, nor for user-generated content, hardware or software failures outside our control, or data corruption caused by third parties. These exclusions do not apply in cases of fraud or willful misconduct. Claims must be brought within two months of the event. Users on the free plan are not entitled to financial compensation. You indemnify us against claims arising from your breach of these Terms, your content, or your violation of law or third-party rights.

11. Force majeure

We are released from performance to the extent we are prevented by events beyond our reasonable control (e.g. fire, flood, war, strikes, infrastructure outages). We will notify you of such events without undue delay.

12. Term and termination

These Terms apply from your first use of the Services. You can terminate at any time by deleting your account or emailing team@planium.se and confirming that you want your data removed from our systems. We may terminate with one month's notice, or immediately in the event of a material breach or where required by sanctions law.

13. Notices and communication

We communicate with you by email; notices are deemed received no later than two days after sending. We may send service-related communications (e.g. security or billing notices) at any time; marketing emails always include an option to unsubscribe.

14. Entire agreement; miscellaneous

These Terms constitute the entire agreement between you and us regarding the Services and supersede prior representations. You may not assign your rights under these Terms without our written consent. If a provision is found to be invalid, it shall be interpreted to the fullest extent permitted by law and the remainder shall remain in force. Nothing in these Terms creates a partnership, joint venture, or agency relationship.

15. Changes to these Terms

We may change these Terms to reflect legal changes or changes to the Services. Changes without materially adverse impact take effect when published; for material changes we give advance notice. Continued use after the effective date constitutes acceptance.

16. Governing law and disputes

These Terms are governed by Swedish substantive law. Before initiating formal proceedings, contact team@planium.se and we will try to resolve the dispute informally within 15 days. Unresolved disputes are settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce, seated in Stockholm, Sweden, conducted in English and kept confidential.
